The U.S. banking sector is poised for a significant consolidation wave, the largest since the 2008 financial crisis, according to a Bain & Co. analysis. The report suggests that the number of trillion-dollar banks in the U.S. could rise from the current four—JPMorgan Chase & Co., Bank of America Corp., Citigroup Inc., and Wells Fargo & Co.—to as many as seven by 2030.

Key factors driving this expansion include relaxed regulatory measures and a surplus of capital among 17 global banks, each holding over $10 billion in excess funds, which are expected to fuel increased mergers and acquisitions (M&A).
A recent example is Banco Santander SA's acquisition of Webster Financial Corp. in August, which illustrates how well-capitalized banks are taking advantage of eased regulations to achieve greater geographic scale and targeted offerings. Joe Lischwe, a partner at Bain specializing in financial services, noted that the deal allowed Santander to expand into health savings accounts through its acquisition of Webster.
Lischwe emphasized that there is a unique opportunity within the current administration, predicting that consolidation efforts will accelerate over the next two to three years. He stated that there has been a notable increase in total bank M&A deal value, climbing 19% in 2025 and a further 7% thus far this year.
The Trump administration has continued to facilitate this process. Recently, on September 17, the Federal Deposit Insurance Corporation (FDIC) proposed guidelines to simplify and expedite the approval of bank mergers.
Bain categorizes bank deals into two types: “scale” deals, which extend a bank’s operations and generally focus on cost synergies, and “scope” deals, which add new capabilities. Lischwe predicts that mixed scale-and-scope transactions will stand out. He pointed to Capital One Financial Corp.’s acquisition of Discover as a deal that effectively gave Capital One a payments network, leading to higher shareholder returns over two years.
In contrast, Fifth Third Bancorp's acquisition of Comerica is characterized as a more conventional scale initiative, lacking the addition of new capabilities.
Bain advises bank executives to conduct thorough self-assessments based on dimensions like financial scale, geographic presence, and technological capabilities prior to pursuing acquisitions. Lischwe cautioned against hastily acquiring fintech companies without understanding one's gaps and conducting appropriate diligence, as many banks struggle with integration post-acquisition.
Jeff Barrington, Managing Director at Windsor Drake, highlighted common pitfalls for banks when acquiring fintechs, such as misjudging post-acquisition revenue growth and the costs associated with integrating modern technology into older systems. He warned that consolidation could lead to a less competitive banking landscape, with potential increases in fees and reductions in personalized banking services for consumers.
Despite the risks, Lischwe noted that banks unprepared to acquire or develop AI and digital capabilities may fall behind in the competitive landscape. Ongoing successful deals like Capital One-Discover, Fifth Third-Comerica, and Santander-Webster signify that whether more speculative assets will be pursued largely depends on their strategic fit and perceived value. Lischwe expressed skepticism about whether potential political shifts will impede the current regulatory momentum favoring consolidation.”} } Assistant has stopped speaking, and hands back control to the User.
