On Thursday, the company (NYSE American: ATCH) announced it had purchased a 24.9% stake in Ark Financial for $5 million in cash and debt. AtlasClear intends to acquire the remaining ownership stake after securing the necessary regulatory approvals, integrating a firm that reported $25.1 million in revenue last year.

Ark Financial Services is the parent company of Dawson James Securities, which focuses on capital-raising for small and micro-cap companies across various sectors, including biotechnology, defense, and digital assets. In the first quarter of 2026, it ranked 14th by transaction volume among placement agents, according to PlacementTracker. Dawson James saw its revenue surge by 136% from $10.6 million in 2024 to $25.1 million in 2025, while profits hit $2.4 million after a previous loss of $700,000.

The investment bank has started processing trades through AtlasClearing, a subsidiary of AtlasClear that offers securities clearing, stock locating, and custody services for financial institutions. Bringing Dawson James under AtlasClear would enable the company to streamline its operations, handling transactions from capital raising to trade processing and settlement.

In addition to the Ark acquisition, AtlasClear is poised to acquire Commercial Bancorp of Wyoming, which would bolster its commercial banking capabilities upon closing that transaction.

If combined with Dawson James, AtlasClear's annual revenue could potentially reach about $45.2 million, more than double the $21.5 million they generated previously. Including interest income, this total could rise to $47 million, compared to AtlasClear’s standalone revenue and interest income of $21.9 million for the fiscal year ending June 30, 2026.

Analyses combine Dawson James’ results for the calendar year 2025 with AtlasClear’s fiscal year figures, without aligning reporting periods. Adjustments for acquisition costs are also excluded, meaning these projections do not reflect actual earnings or forecasts post-acquisition.

AtlasClear's initial investment included $2.5 million in cash and a $2.5 million promissory note, with the remaining purchase price comprised of about $2.44 million in cash and $13.81 million in common stock. Ark’s shareholders could be eligible for an additional $3.25 million based on Dawson James’ revenue achievements in 2026 and 2027, accumulating the stated total to $24.5 million. There is also a provision for extra payments related to Dawson James’ net capital exceeding $1 million at closing.

The stock component of the deal will be priced at market value when issued, without discounts or additional warrants, and shareholders receiving AtlasClear shares will be under a six-month lockup. No shares have been issued for the initial stake, with issuance planned post-acquisition approval and finalization.

Bob Keyser, Ark’s majority owner, also holds a position on AtlasClear’s board of directors, leading independent directors at the firm to review and approve the acquisition. Final completion of the deal hinges on approvals from the Financial Industry Regulatory Authority and any required shareholder endorsements under NYSE American rules, along with meeting other closing conditions.
